Content Rights

The Platform is a service which helps facilitate Client’s engagement of independent, third party creators (“Creators”) to provide creative content (“Creator Content”). Pursuant to Cohley’s standard terms and conditions executed with Creators (“Creator Terms”), and subject to Client’s payment obligations to Cohley and Creators hereunder, Client shall own the Creator Content (subject to the Pre-Existing IP license below). Cohley warrants that such ownership is properly conveyed by the Creator Terms. Creators retain ownership of any pre-existing, or otherwise separately developed, intellectual property therein (“Pre-Existing IP”). Subject to Client’s payment obligations to Cohley and Creators hereunder, Client is granted a non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, worldwide right and license to use, reproduce, distribute, perform, and display the Pre-Existing IP solely as incorporated into the applicable Creator Content.

So what does that mean exactly? You can start to activate the content as soon as the Creator Compensation payment has gone through, and it's yours to use, wherever, whenever, forever!  

Do I get usage rights to content from an Influencer brief?

Yes — the same rights apply on every brief type, including Influencer Partnership. Once Creator Compensation is paid, the content is yours to use on your own channels, in perpetuity and worldwide, exactly as it is for UGC and Professional briefs. The paid media/boosting toggle on an Influencer brief is a separate thing: it grants you the ad code so you can run paid spend through the Creator's own handle — whitelisting — where the ad appears to come from them rather than your brand account. Do I need Creators to sign a separate talent release form?

No. Content ownership and usage rights transfer to you automatically under Cohley’s Terms & Conditions when Creator Compensation is paid — there is no separate talent release form to collect.

Can our other teams or regional entities use the content too?

Yes. Content can be used across your affiliated teams and entities — for example, a regional team like your Canada team — under the same agreement. You don’t need a separate contract for each entity.

What if other people, or our own logo/brand assets, appear in the content?

You’re still covered — there are no separate release forms to collect. Under Cohley’s Creator Terms, the Creator warrants they’ve secured all necessary rights and permissions for what appears in their content (including any other people or locations they capture). Your own brand assets — like your logo — are already your intellectual property, so no additional rights are needed.
